Proposed ESA Bylaws Change

Based on the ESA bylaws, Article XIII, Section 2 (see below), this notification of a proposed amendment regarding the process for appointment of members to ESA standing committees.  Please review the notification below in its entirety and prepare to vote on this amendment. (An email will be sent September 4th when voting opens.)

     Section 2. Notice. Notice of a proposed amendment shall be sent to   members at least 30 days before the amendment is to be voted upon. The notice shall include the expected impact of the amendment and the recommendation of the Governing Board. The Governing Board may seek the counsel of the Standing Committee on Ethics and Rules in preparing and presenting amendments to the membership.

BACKGROUND
ESA's bylaws require that appointments to ESA standing committees be presented as a slate to the membership at the closing business meeting taking place at ESA's Annual Meeting each year. This practice was established many years ago when communication and input from members was more difficult to gather remotely than it is today, and this process has not been the practice in the past several years.  Therefore, it was recommended to the ESA Governing Board that the ESA bylaws be revised as described below in order to remove the requirement for voting on the slate of appointments at the closing business meeting and to adopt current practice.

The next to last paragraph of Article XI, Section 1, is the only text to be amended in that Section with this change.

ESA GOVERNING BOARD ACTION
During the July ESA Governing Board meeting, the following motion was approved, "Move to have the membership vote to approve the change to Article XI, Section 1, of the bylaws as described below."

ARTICLE XI: COMMITTEES
Section 1. Standing Committees. Standing Committees shall be established to facilitate the purpose and function of The Society. Standing Committees of The Society shall include:

* Membership
* Finance
* Audit
* Ethics and Rules
* Annual Meeting Program
* Education and Outreach
* Awards and Honors
* Student Affairs
* International Affairs
* Common Names 

Unless otherwise indicated, members of Standing Committees shall serve for terms of three years each. Terms commence at the close of the Annual Business Meeting of The Society and shall be arranged so that approximately one-third shall expire each year. When a new committee is established, the Governing Board shall determine the terms for each newly elected or appointed member and designate the Chair and Vice Chair.

Positions on Standing Committees shall be filled by election, except as provided otherwise in the Bylaws. The Governing Board, having solicited and considered suggestions from Branches, Sections, and members of The Society, shall serve as a nominating committee to propose a slate of candidates for elective positions on Standing Committees. The candidates nominated by the Governing Board, together with any nominations from the floor, shall be voted on at the Annual Business Meeting of The Society.
 
A vacancy in any position on a Standing Committee shall be filled by appointment by the President.

ARTICLE XI: COMMITTEES
